pursuant to Section 44.5 of the Los Angeles County Charter as implemented by Los
Angeles County Code Section 2.26.140 (A);

WHEREAS, the Santa Clarita Historical Society agrees to provide educational
tours and lectures and programs as a public service to the residents of California; and

WHEREAS, the County agrees to co-sponsor certain activities in providing park
facilities and grounds that are in the public's interest, making the fullest possible use of

public facilities; and
WHEREAS, the Director shall act on behalf of the County on contractual or

administrative issues relating to the enforcement of this agreement, or his authorized
representative;

NOW THEREFORE, in consideration of the mutual promises, covenants and

conditions set forth herein, and for good and valuable consideration, the parties agree to
the following:
1.0 APPLICABLE DOCUMENTS

1.1 Exhibits A through J are attached to, and form a part of this License

Agreement. In the event of any conflict or inconsistency in the definition or
interpretation of any word, responsibility, schedule, or the contents or

description of any task, deliverable, goods, service, or other work, or
otherwise between the base License Agreement and the Exhibits, or

between Exhibits, such conflict or inconsistency shall be resolved by
giving precedence first to the License Agreement and then to the Exhibits

according to the following priority:
